These Terms of Service (“Terms”) are an agreement between you and Retractability Bicycles LLC, an Arizona limited liability company that currently operates the Splitt service under the “Splitt” name.
In these Terms, “Splitt,” “we,” “us,” and “our” refer to Retractability Bicycles LLC in its capacity as operator of the Splitt website, applications, and related services. “Service” means the Splitt marketing site, account and workspace applications, AI-assisted features, project and metric tools, Knowledge and document features, feedback and announcement features, and related services that link to these Terms.
Splitt AI LLC is expected to be formed as a separate Arizona entity. If that entity later becomes the operator of Splitt, we may assign or transfer these Terms as described below, update the Terms, notify users where required, and require acceptance of the updated Terms. Splitt AI LLC does not currently operate the Service.
Please read these Terms carefully. By creating an account, you agree to the Terms of Service and acknowledge the Privacy Policy. If you do not agree, do not create an account. Optional analytics permission is separate and is not required to create an account. Publication of these interim Terms does not record acceptance on behalf of existing users.
1. Eligibility and United States Availability
You must be at least 18 years old to use Splitt.
You must be legally capable of entering into a binding agreement. If you use Splitt on behalf of a company, organization, or other person, you represent that you have authority to bind that person to these Terms.
Splitt is initially offered only to users located in the United States. You may not use the Service where doing so would violate applicable law.
2. Development and Beta Status
Splitt is actively being developed. Features may change, be incomplete, contain bugs, become temporarily unavailable, or be discontinued.
Some features may be:
- available to all users;
- available only to certain plans or roles;
- feature-gated;
- limited by usage allowances, provider availability, or technical readiness;
- described as Building or Exploring rather than currently available.
Roadmap statements are directional and may change. They are not promises of delivery, timing, availability, or commercial terms.
3. Accounts and Account Security
You must provide accurate account information and keep it reasonably current.
You are responsible for:
- protecting your password and email account;
- using a strong, unique password;
- maintaining control of devices and sessions used to access Splitt;
- promptly notifying us of suspected unauthorized access;
- activity performed through your account, except to the extent caused by our failure to meet applicable obligations.
You may not share an individual account in a way that bypasses access controls or usage limits.
We may require email verification, password recovery, multi-factor authentication, reauthentication, or other security measures.
The signup/login server flow receives credentials transiently and forwards them to Supabase Auth for authentication. Splitt does not intentionally log passwords or store them in Splitt business records. Passwords must never enter analytics, product events, feedback, or application logs. This is not an independently audited guarantee. We will not ask you to send us your password by email.
4. Company Workspaces, Roles, and Permissions
Splitt supports company and organization workspaces. Access to a workspace depends on membership, role, status, and other authorization rules.
A workspace owner or authorized administrator may be able to:
- create or manage company records;
- assign roles and permissions;
- invite, add, suspend, or remove members where those features are available;
- access workspace content consistent with their role;
- control company-level settings.
Team-invitation features are not currently generally available. The availability of collaboration features may change.
If you join a company workspace:
- content you add may be accessible to other authorized members;
- company administrators may manage your membership and role;
- the company may retain business records you created even after your membership ends;
- your access may also arise through an organization-level relationship.
Do not use a company workspace unless you are authorized to do so.
5. Description of the Service
Splitt is a business-planning and execution workspace. Depending on configuration and availability, the Service may help users:
- record business context and founder-reported information;
- organize projects, tasks, goals, priorities, and experiments;
- define and record metrics;
- record business-finance events and manually reported cash information;
- view Business Pulse and project progress;
- maintain Knowledge and source materials;
- upload documents and process them using extraction or OCR;
- ask an AI-assisted system questions using authorized company context;
- receive proposed business updates and next steps;
- review, edit, confirm, or cancel supported proposed actions;
- submit feedback and receive product announcements.
Splitt does not guarantee business success, profitability, funding, sales, customer acquisition, legal compliance, or any other result.
6. Manual Changes and Reviewed Actions
Some Splitt features prepare a proposed change for review. Where a reviewed-action flow applies:
- the proposal is not a business record until an authorized user confirms it;
- the user may be able to edit or cancel the proposal;
- Splitt rechecks authorization and relevant record state before execution;
- repeated confirmation is designed not to execute the same action more than once.
Manual forms may save when a user submits them. Not every manual action receives a separate AI review.
You are responsible for reviewing all information before saving or confirming it.
7. User Content
“User Content” means information, text, files, documents, images, business records, messages, feedback, and other material that you or another authorized user submits to the Service.
As between you and Splitt, you retain the rights you have in User Content.
You grant Retractability Bicycles LLC a nonexclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, format, index, extract, transform, and otherwise use User Content only as reasonably necessary to:
- provide and secure the Service;
- follow your instructions;
- enable authorized company members to use the workspace;
- provide AI-assisted and document-processing features;
- comply with law;
- enforce these Terms;
- protect users and the Service.
This license continues for as long as necessary to provide the Service and for any limited retention period described in the Privacy Policy.
You represent that:
- you have the rights and permissions needed to submit User Content;
- submitting and using the content through Splitt will not violate law or another person’s rights;
- you have obtained any required authorization from your company, customers, employees, contractors, or other data subjects;
- you will not upload information that you are prohibited from processing.
Splitt does not claim ownership of your company’s business records merely because they are stored in the Service.
8. Confidential and Sensitive Information
Splitt is designed to store private business information, but it is not appropriate for every type of sensitive information.
Unless Splitt expressly agrees otherwise in writing, do not submit:
- Social Security numbers;
- full payment-card numbers;
- bank-account credentials;
- government-issued identification numbers;
- passwords or authentication tokens;
- protected health information subject to HIPAA;
- classified information;
- export-controlled technical data;
- highly sensitive personal information that is not reasonably necessary for the Service;
- information you are contractually prohibited from disclosing.
Splitt is not a data room, bank, law firm, accounting firm, medical provider, regulated financial institution, or regulated records-management service.
9. Documents, Files, and OCR
Where enabled, Splitt allows users to upload documents and attach them to conversations or Knowledge.
You are responsible for ensuring that you have permission to upload, store, process, and use each file.
Document processing may involve:
- text extraction;
- OCR;
- chunking and indexing;
- source-location detection;
- AI-assisted analysis;
- citations and retrieval.
Extraction and OCR can be incomplete or inaccurate. Review the original source before relying on extracted information.
We may reject, quarantine, or remove files that are unsupported, corrupted, malicious, oversized, unlawful, or inconsistent with these Terms.
10. AI-Assisted Features
Splitt uses automated models to generate suggestions, summaries, classifications, OCR results, and proposed actions where enabled.
AI output may be inaccurate, incomplete, outdated, biased, or unsuitable. You must review output before relying on it.
Splitt is not a substitute for professional advice. Do not use Splitt as the sole or authoritative basis for:
- legal decisions;
- tax or accounting advice;
- investment advice;
- regulated financial services;
- medical diagnosis or treatment;
- employment, housing, credit, insurance, or other high-impact eligibility decisions;
- safety-critical engineering decisions.
Splitt may help organize business and financial information, but it does not provide licensed financial, legal, tax, investment, accounting, or medical services.
10.1 Use of AI output
You may use AI output internally and in your own business activities after reviewing and verifying it and ensuring that your use does not violate third-party rights.
You may not, without our prior written permission:
- resell or redistribute Splitt output as a standalone content product or competing service;
- publish output while representing that Splitt verified, endorsed, guaranteed, or professionally approved it;
- remove applicable source, attribution, or warning information in a misleading way;
- use output to train or extract a competing model in violation of these Terms;
- publish output that violates law or another person’s rights.
10.2 No autonomous business operation
Splitt does not independently operate your business. Suggestions remain subject to your judgment, review, permissions, and confirmation.
10.3 Provider availability
AI features may depend on plan, usage limits, provider availability, feature configuration, and safety controls. We may change providers or models without promising continued access to a specific model.
See the AI Features Notice for additional information.
11. Acceptable Use
You must comply with the Acceptable Use Policy, which is incorporated into these Terms.
Among other things, you may not:
- use the Service unlawfully;
- infringe intellectual-property or privacy rights;
- upload malware or harmful content;
- scrape, reverse engineer, or circumvent the Service;
- bypass usage limits or access controls;
- access another company’s data without authorization;
- use the Service for spam, fraud, harassment, or deception;
- use Splitt to provide regulated or licensed services you are not authorized to provide.
12. Third-Party Services and Integrations
Splitt relies on service providers and may offer optional connections to third-party services.
Third-party services may have separate terms and privacy policies. You are responsible for reviewing them and maintaining any required authorization.
We are not responsible for third-party services that we do not control, and we do not guarantee that an integration will remain available.
Current provider categories are described in the Privacy Policy and Subprocessor List.
13. Plans, Usage, and Future Billing
Splitt currently offers a Free plan.
Splitt Pro and Splitt Team are planned but are not currently offered as paid subscriptions. Pricing is coming soon and may change before paid launch.
We will not charge you without a separate, clear, affirmative agreement that discloses the price, billing frequency, renewal terms, cancellation method, and other required terms.
The application’s server-side plan and entitlement system controls actual feature access and usage allowances. Marketing descriptions do not override the product configuration.
If paid plans launch, separate subscription and cancellation terms may apply, and these Terms will be updated as appropriate.
14. Splitt Intellectual Property
The Service, including its software, design, interfaces, brand, documentation, and original content, is owned by Retractability Bicycles LLC or its licensors, except for User Content.
Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Service for your own lawful internal or business purposes.
You may not:
- copy, modify, distribute, sell, lease, or sublicense the Service except as permitted by law or written agreement;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where applicable law prohibits restriction;
- scrape or systematically extract data or interface content;
- use automated means to access the Service except through authorized interfaces;
- remove ownership notices;
- use the Splitt name, logo, or marks without permission;
- create a competing product using nonpublic Splitt materials.
A copyright notice does not by itself prove ownership. Ownership documentation remains under review. These Terms do not assert that assignments have been executed.
15. Feedback
If you submit feedback, ideas, or suggestions, you grant Retractability Bicycles LLC a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, modify, commercialize, and incorporate that feedback without compensation or attribution.
This license does not give us ownership of unrelated business information or content merely because it appears in feedback. Review screenshots before submitting them.
16. Copyright Complaints
If you believe material available through Splitt infringes your copyright, email support@splittai.app with the subject line “Copyright Complaint” and enough information for us to identify and review the material.
Retractability Bicycles LLC has not registered a designated DMCA agent with the U.S. Copyright Office and does not claim formal DMCA safe-harbor registration.
See the Copyright Complaint Notice for the information to include.
17. Suspension and Termination
You may stop using the Service at any time. You may request account deletion through support@splittai.app with the subject “Splitt Privacy Request — Account Closure.” No public self-service deletion flow currently exists. We may verify identity and authority; company and shared-workspace data may require additional authorization. Some security, audit, legal, backup and transaction records may be retained where required or reasonably necessary.
We may suspend or terminate access when reasonably necessary to:
- protect users or the Service;
- prevent fraud, abuse, unauthorized access, or unlawful activity;
- address a material breach of these Terms;
- comply with law;
- respond to security or operational risk;
- discontinue the Service.
Where appropriate, we may provide notice and an opportunity to resolve the issue, but we may act immediately when necessary to protect users, data, or the Service.
Account deletion or termination may result in loss of access to content. Company records may remain in a company workspace if other authorized members retain rights to them.
Our retention and deletion practices are described in the Privacy Policy.
18. Service Changes and Availability
We may add, modify, suspend, or discontinue features.
We do not guarantee uninterrupted, error-free, secure, or permanent availability.
We may impose or change reasonable usage limits and technical requirements.
We will not use this section to retroactively charge users without a separate affirmative agreement.
19. No Professional Advice
Splitt provides software and information-management tools, not professional services.
Nothing in the Service constitutes legal, medical, tax, accounting, investment, or other licensed professional advice.
You are responsible for obtaining qualified professional advice and making your own business decisions.
20. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Retractability Bicycles LLC disclaims warranties of merchantability, fitness for a particular purpose, title, and noninfringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that:
- the Service will be uninterrupted, secure, or error-free;
- AI output will be accurate, complete, or appropriate;
- documents will be extracted correctly;
- metrics, priorities, or summaries will produce any business result;
- third-party services will remain available;
- defects will be corrected within a particular time.
Some jurisdictions do not allow certain disclaimers, so these disclaimers may not apply to you to the full extent stated.
21. Limitation of Liability
To the maximum extent permitted by law, Retractability Bicycles LLC and its members, managers, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, business interruption, or cost of substitute services arising from or related to the Service, even if advised of the possibility of such damages.
No monetary liability cap is specified in these interim Terms.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
22. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Retractability Bicycles LLC and its members, managers, affiliates, contractors, and service providers from third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:
- your unlawful use of the Service;
- your User Content;
- your violation of these Terms or the Acceptable Use Policy;
- your infringement or violation of another person’s rights;
- your lack of authority to submit or process information;
- your business decisions or external publication of output.
23. Governing Law and Disputes
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
These interim Terms do not require arbitration.
These interim Terms do not designate an exclusive court or county venue. Applicable legal rights remain unaffected.
Nothing in this section prevents either party from seeking appropriate temporary or injunctive relief where legally available.
24. Assignment and Business Transfer
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign these Terms, in whole or in part, in connection with a merger, financing, reorganization, change of control, sale of assets, or transfer of all or part of the Splitt business.
Splitt AI LLC is expected to be formed as a separate Arizona entity. If that entity becomes the operator of Splitt, we may transfer the Splitt business and assign these Terms to it after completing the required legal and operational steps. We will update these Terms, provide notice where required, and may require users to accept the new Terms before continuing.
No assignment will silently authorize materially different use of personal information contrary to the Privacy Policy and applicable law.
25. Changes to These Terms
We may update these Terms as the Service changes.
We will update the effective date and provide additional notice where required or appropriate.
For material changes, including a change in legal operator, we may require affirmative acceptance before continued use.
Publication alone does not establish that an existing user accepted a new version.
26. Notices
We may provide notices through:
- the Service;
- email associated with your account;
- a development or announcement banner;
- another reasonable method.
You are responsible for keeping your email address current.
Legal notices to Splitt may be sent to support@splittai.app with the subject line “Splitt Legal Notice.” Do not send passwords, authentication tokens, or unnecessary sensitive information.
27. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
Our failure to enforce a provision is not a waiver.
Section headings are for convenience only.
These Terms, the Privacy Policy, the Acceptable Use Policy, and any additional terms expressly presented for a feature form the agreement concerning the Service.
